1. Acceptance of these Terms
Welcome to Troop Connect. These Terms of Service (the “Terms”) are a binding legal agreement between you and Chemmo Holdings, LLC, a Florida limited liability company (“Chemmo Holdings,” “we,” “us,” or “our”). Troop Connect is a communication platform for adult leaders and parents in youth organizations. By creating an account or using the Troop Connect mobile or web application (collectively, the “Service”), you agree to these Terms and to our Privacy Policy and Acceptable Use Policy, each of which is incorporated by reference. If you do not agree, do not use the Service.
You must be at least 18 years of age to create a Troop Connect account. You must also reside in the United States. By creating an account, you affirm that both of these statements are true. We may verify your age or U.S. residency through automated or manual means, and we may suspend or terminate accounts that do not meet these requirements.
2. Non-affiliation
Troop Connect is not affiliated with, endorsed by, or sponsored by the Boy Scouts of America, Girl Scouts of the USA, Trail Life USA, American Heritage Girls, or any other youth organization. All organizational names and trademarks are the property of their respective owners. Nothing in the Service creates any official relationship between you and any youth organization.
3. Your account
You are responsible for the activity that occurs under your account. Keep your password secret. Do not share your account with anyone else. If you learn of unauthorized use of your account, notify us at security@troop-connect.com promptly. We are not liable for losses resulting from unauthorized access that you did not reasonably prevent.
4. Troop memberships
The Service is organized around “troops” — groups of adults (leaders and parents) associated with a real-world youth organization. When you create or join a troop, you become a member of that troop. Troop leaders have elevated administrative permissions within their troop, including the ability to invite and remove members, create and archive channels, post events, upload documents, and configure moderation settings. Troop leaders are not our agents or employees; their administrative actions are on behalf of the troop.
5. Subscriptions, trials, and automatic renewal
Troop subscriptions are sold at $150 per troop per year (the “Subscription Fee”), paid by the person (the “Billing Contact”) who initiates the troop’s Stripe checkout. Each new troop receives a fourteen (14) day free trial. Your payment card will not be charged during the trial. At the end of the fourteen-day trial, unless the Billing Contact has cancelled, your card will be charged the Subscription Fee and your subscription will renew automatically each year on the anniversary of your initial charge until cancelled.
Cancellation. You may cancel your subscription at any time from the billing settings inside the Troop Connect app, or by emailing billing@troop-connect.com. Cancellation during the free trial stops the Subscription Fee from being charged. Cancellation after renewal stops the following year’s charge but does not result in a prorated refund of the current year, except as required by applicable law.
Refunds. If you were charged because of a Chemmo Holdings error, if you dispute a charge within thirty (30) days of the charge, or if required by law, we may grant a full or prorated refund at our discretion. Contact billing@troop-connect.com to request a refund.
Renewal reminders. We will send a renewal reminder email to the Billing Contact at least fifteen (15) days before each annual renewal, consistent with state auto-renewal laws including California Business & Professions Code § 17602.
Price changes. We may change the Subscription Fee in the future. If we raise the Subscription Fee, we will notify the Billing Contact at least thirty (30) days before the change takes effect, and the change will apply at the next renewal.
6. Your content; our license
“Your Content” means any messages, images, documents, signatures, RSVPs, or other material you submit to the Service. You retain all rights you have in Your Content. By submitting Your Content, you grant Chemmo Holdings a non-exclusive, worldwide, royalty-free license to host, reproduce, display, modify (for formatting and delivery), distribute to other authorized troop members, and create derivative works of Your Content solely to operate, improve, and secure the Service. You represent and warrant that you have the rights needed to grant that license.
We do not use Your Content to train artificial-intelligence models, and our vendor contracts require the same of our service providers.
7. Content about minor children
Troop Connect accounts are for adults only, but the content shared on the Service often relates to minor children. If you upload any information about a child — including a name, photograph, birthdate, allergy information, medical consent, home address, or phone number — you represent that you have the legal authority to do so and that the child’s parent or legal guardian has consented to the upload where that consent is required. If you are a troop leader uploading a roster provided to you by a parent or guardian, you represent that the parent’s or guardian’s consent was given for the purpose of operating the troop via this Service. We may remove any content about a child upon request from a parent or legal guardian.
8. Acceptable use
You agree to comply with our Acceptable Use Policy. Violations may result in content removal, account suspension, or account termination. Severe violations — including content that sexualizes a minor, genuine threats of violence, or activities that appear to facilitate the trafficking or exploitation of a child — will result in immediate suspension, preservation of related content for law-enforcement review, and a report to the National Center for Missing & Exploited Children (NCMEC) CyberTipline under 18 U.S.C. § 2258A as applicable.
9. Electronic signatures
The Service provides the ability to sign documents electronically. By signing a document through the Service, you (a) affirm that your electronic signature is the legal equivalent of your handwritten signature, (b) consent to conduct business electronically as required by the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001) and your state’s adoption of the Uniform Electronic Transactions Act (“UETA”), and (c) acknowledge the Consumer Consent Disclosure shown to you before your first electronic signature.
10. Intellectual property
The Service, including all software, user interface, text, design, logos, graphics, and documentation other than Your Content, is owned by Chemmo Holdings, LLC and protected by copyright, trademark, and other laws. Except for the rights expressly granted in these Terms, we reserve all rights. “Troop Connect” is a trademark of Chemmo Holdings, LLC. You may not use our marks without our prior written permission.
11. Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use that feedback without obligation to you.
12. Third-party services
The Service uses third-party services to operate, including Google LLC (Firebase/Google Cloud), Stripe, Inc. (payment processing), Google Jigsaw Perspective API (content moderation), and platform distribution services operated by Apple Inc. and Google LLC. These services have their own terms and privacy policies. Our Subprocessors list identifies the current set.
13. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied. Chemmo Holdings disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components, or that data you store will be secure or not lost.
The Service is not an emergency communication system. Do not rely on the Service to contact law enforcement, fire, medical, or other emergency services. For emergencies, call 911 (or your local emergency number).
14. Limitation of liability
To the maximum extent permitted by law, Chemmo Holdings and its officers, directors, members, employees, agents, and suppliers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to these Terms or your use of the Service, even if advised of the possibility of such damages. Our total liability to you for any claim arising out of or related to these Terms or the Service is limited to the greater of (a) one hundred fifty dollars ($150) or (b) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow limitations on implied warranties or exclusions of certain damages. In those jurisdictions, these limitations apply only to the fullest extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Chemmo Holdings, LLC and its officers, directors, members, employees, agents, and suppliers from and against any claim, demand, loss, damage, liability, cost, or expense (including reasonable attorneys’ fees) arising out of or related to (a) Your Content, (b) your use of the Service, (c) your violation of these Terms or any applicable law, or (d) your violation of the rights of any third party, including any child whose data you uploaded without proper authority.
16. Termination
You may delete your account at any time through the app or by emailing privacy@troop-connect.com. Account deletion is subject to a fourteen-day grace period during which you may reverse the request. After the grace period, we will delete your account and associated personal data except for records we are required to retain (including consent records, financial records, and materials preserved for legal or safety purposes).
We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms, at our reasonable discretion. On termination, your license to use the Service ends immediately. Sections 6 (last sentence), 7, 10, 11, 13–15, 17, and 18 survive termination.
17. Dispute resolution — arbitration and class-action waiver
Except for claims that may be brought in small-claims court and except for claims for injunctive relief regarding intellectual-property rights, any dispute arising out of or relating to these Terms or the Service, including the formation, interpretation, breach, or termination of these Terms, shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be held in Pinellas County, Florida, or another location that the parties agree upon or that the arbitrator determines. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this Section 17.
Class-action waiver. You and Chemmo Holdings agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of representative or class proceeding. If this class-action waiver is found unenforceable, then the entirety of this Section 17 is null and void.
Opt-out. You may opt out of this Section 17 within thirty (30) days after you first accept these Terms by emailing legal@troop-connect.com with the subject line “Arbitration Opt-Out” and including your name and account email. Opting out does not waive any other provision of these Terms.
18. Governing law; venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. For claims not subject to Section 17, the exclusive venue is the state or federal courts located in Pinellas County, Florida, and the parties consent to the personal jurisdiction of those courts.
19. Changes to these Terms
We may modify these Terms at any time. If a change is material, we will notify you by email or through the Service at least fourteen (14) days before it takes effect. Continued use of the Service after the change becomes effective means you accept the modified Terms. If you do not agree to a modified term, your only remedy is to stop using the Service and close your account.

21. Miscellaneous
These Terms, together with the documents referenced, are the entire agreement between you and Chemmo Holdings regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship.
